Subscription Terms – HCM TradeSeal and WageFinder

These Subscription Terms (“Terms”) govern your purchase and use of software, data, subscription services, and related products provided by Custom Interface Company, doing business as HCM TradeSeal (“TradeSeal,” “we,” “us,” or “our”), including TradeSeal software subscriptions and WageFinder API subscriptions. By purchasing a subscription, accessing the services, or using the software, data, or API, you agree to these Terms.

1. Subscription Services

TradeSeal provides access to hosted software-as-a-service products and related subscription services, including:

  • TradeSeal software products designed to assist organizations with payroll compliance automation, including prevailing wage, certified payroll, union reporting, and job costing workflows; and
  • WageFinder API products designed to provide access to prevailing wage data, wage determinations, classifications, rates, fringe information, and related wage data.

Your subscription may include, depending on the product purchased:

  • Access to the applicable software, API, or hosted service;
  • Standard customer support;
  • Access to documentation and knowledge resources; and
  • Limited onboarding guidance reasonably necessary to activate the applicable subscription.

Your subscription does not include implementation services, consulting services, custom configuration, data entry, integrations, project management services, legal advice, payroll advice, tax advice, or compliance consulting unless separately purchased in writing. Optional Professional Services may be purchased separately.

2. Customer Responsibilities

Customer is solely responsible for:

  • Providing accurate and complete data;
  • Reviewing all calculations, reports, API responses, wage data, and other outputs before production use;
  • Ensuring compliance with applicable wage laws, union rules, tax requirements, payroll requirements, and regulatory obligations;
  • Configuring internal payroll, ERP, timekeeping, accounting, reporting, and compliance systems;
  • Determining the correct wage classifications, work classifications, labor categories, job locations, overtime rules, fringe benefit treatment, and reporting obligations; and
  • Independently verifying all wage data, calculations, reports, and compliance outputs before relying on them.

TradeSeal does not provide legal, accounting, payroll processing, tax, or regulatory compliance services.

3. WageFinder API and Wage Data Disclaimer

WageFinder API provides access to wage-related data intended to assist with research, automation, and internal business workflows. Wage data may include prevailing wage rates, wage determinations, classifications, fringe benefit information, locality information, effective dates, expiration dates, and related data.

Customer acknowledges and agrees that:

  • Wage data may be incomplete, outdated, inaccurate, incorrectly interpreted, incorrectly mapped, or unavailable;
  • Government-published wage data may contain errors, ambiguities, omissions, formatting inconsistencies, or updates not yet reflected in WageFinder;
  • Wage determinations, classifications, fringe requirements, overtime rules, apprenticeship rules, and reporting obligations may require legal, regulatory, or agency-specific interpretation;
  • WageFinder does not determine which wage determination, classification, locality, rate, fringe benefit, or compliance rule applies to Customer’s work;
  • WageFinder does not guarantee that any wage data is current, complete, accurate, or legally sufficient;
  • WageFinder does not provide legal advice, compliance advice, payroll advice, accounting advice, or tax advice; and
  • Customer must independently verify all wage data with the applicable government agency, contract documents, legal counsel, payroll advisor, compliance advisor, or other appropriate authority before relying on it.

Customer uses WageFinder API and all wage data at Customer’s own risk. TradeSeal shall not be liable for any claim, loss, audit finding, regulatory penalty, back wage assessment, liquidated damages, contract damages, bid error, payroll error, reporting error, underpayment, overpayment, or other liability arising from or related to Customer’s use of WageFinder API or any wage data.

4. Fees and Billing

By purchasing a subscription via the TradeSeal or WageFinder website, you agree:

  • Subscription fees are billed monthly in advance unless otherwise stated at checkout or in an applicable order form;
  • Subscriptions continue until cancelled;
  • You may cancel at any time with ninety (90) days’ written notice;
  • Fees remain payable during the notice period;
  • Fees are non-refundable once billed;
  • Failure to cancel does not relieve payment obligations;
  • TradeSeal may suspend or terminate service for non-payment; and
  • You authorize TradeSeal to charge your payment method for recurring fees until cancellation becomes effective.

5. Professional Services

Professional Services may include advisory sessions, configuration assistance, integration support, data assistance, API support, or other technical services.

Professional Services:

  • Are sold separately from the software or API subscription;
  • Are provided on a commercially reasonable efforts basis;
  • Do not guarantee any specific outcome;
  • Do not include legal or compliance advice; and
  • Do not make TradeSeal responsible for Customer’s compliance obligations.

TradeSeal is not responsible for the configuration, performance, data accuracy, availability, or compliance impact of third-party systems.

6. License and Use Restrictions

TradeSeal grants Customer a limited, non-exclusive, non-transferable right to access and use the applicable software, API, data, or subscription service during the subscription term solely for Customer’s internal business purposes.

Customer may not:

  • Reverse engineer, copy, scrape, or attempt to extract the underlying software, database, or source data except through authorized product functionality;
  • Resell, sublicense, distribute, publish, or make the software, API, or data available to third parties;
  • Use the software, API, or data to develop competing products or services;
  • Use the API in a manner that exceeds reasonable usage limits, degrades system performance, or violates documentation or technical restrictions;
  • Circumvent authentication, usage limits, access controls, or security measures; or
  • Use the software, API, or data for unlawful purposes.

7. Compliance Disclaimer

Customer acknowledges that TradeSeal does not determine wage classifications, union requirements, fringe calculations, apprenticeship ratios, overtime rules, double-time rules, reporting obligations, contract requirements, or other labor law obligations.

All calculations, reports, wage data, API responses, and other outputs must be independently verified by Customer before use.

TradeSeal shall not be liable for audit findings, regulatory penalties, back wages, liquidated damages, contract disputes, bid errors, payroll errors, reporting errors, or similar compliance-related liabilities.

8. Availability and Changes

TradeSeal may modify, update, suspend, or discontinue any portion of the software, API, data, documentation, or subscription services at any time.

TradeSeal does not guarantee uninterrupted access, error-free operation, or permanent availability of any specific feature, data source, wage determination, API endpoint, report, integration, or product functionality.

9. Limitation of Liability

To the maximum extent permitted by law, TradeSeal’s total liability arising from or related to the software, API, data, subscription services, Professional Services, or these Terms will not exceed the amount paid by Customer during the six (6) months preceding the claim.

TradeSeal will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost revenue, business interruption, loss of data, compliance penalties, audit findings, back wage assessments, liquidated damages, or damages arising from Customer’s reliance on wage data or software outputs.

10. Termination

After the initial subscription term, either party may terminate the subscription with ninety (90) days’ written notice.

TradeSeal may suspend or terminate access for non-payment, breach of these Terms, misuse of the software or API, security concerns, excessive usage, or unlawful activity.

Upon termination, Customer’s access to the applicable software, API, data, and subscription services may be disabled.

11. Dispute Resolution

The parties agree to attempt informal resolution of disputes before initiating arbitration.

Any unresolved dispute will be resolved by binding arbitration under the rules of the American Arbitration Association.

These Terms are governed by the laws of the State of Delaware.

12. Electronic Acceptance

By completing an online purchase, checking the applicable acceptance box, accessing the software or API, or using the subscription services, Customer agrees that electronic acceptance of these Terms constitutes a legally binding agreement.

No physical signature is required.
