TradeSeal Software Subscription Terms

These Subscription Terms (“Terms”) govern your purchase and use of the TradeSeal software platform (“Software”) provided by Custom Interface Company, doing business as HCM TradeSeal (“TradeSeal,” “we,” “us,” or “our”). By purchasing a subscription or using the Software, you agree to these Terms.
1. Software Subscription
TradeSeal provides access to a hosted software-as-a-service (SaaS) platform designed to assist organizations with payroll compliance automation, including prevailing wage, certified payroll, union reporting, and job costing workflows.
Your subscription includes:
- Access to the TradeSeal Software platform
- Standard customer support
- Access to documentation and knowledge resources
- Limited onboarding guidance reasonably necessary to activate the Software
Your subscription does not include implementation services, consulting services, custom configuration, data entry, integrations, or project management services unless separately purchased. Optional Professional Services may be purchased at any time.
2. Customer Responsibilities
Customer is solely responsible for:
- Providing accurate and complete data
- Reviewing all calculations, reports, and outputs before production use
- Ensuring compliance with applicable wage laws, union rules, tax requirements, and regulatory obligations
- Configuring internal payroll, ERP, timekeeping, and accounting systems
TradeSeal does not provide legal, accounting, payroll processing, tax, or regulatory compliance services.
3. Fees and Billing
By purchasing a subscription via the TradeSeal website, you agree:
- Subscription fees are billed monthly in advance.
- Subscriptions continue until cancelled.
- You may cancel at any time with 90 days’ written notice.
- Fees remain payable during the notice period.
- Fees are non-refundable once billed.
- Failure to cancel does not relieve payment obligations.
- TradeSeal may suspend or terminate service for non-payment.
You authorize TradeSeal to charge your payment method for recurring fees until cancellation becomes effective.
4. Professional Services
Professional Services may include advisory sessions, configuration assistance, integration support, or other technical services.
Professional Services:
- Are sold separately from the Software subscription
- Are provided on a commercially reasonable efforts basis
- Do not guarantee any specific outcome
- Do not include legal or compliance advice
TradeSeal is not responsible for configuration, performance, or data accuracy of third-party systems.
5. Software License
TradeSeal grants Customer a limited, non-exclusive, non-transferable right to access and use the Software during the subscription term solely for internal business purposes.
Customer may not:
- Reverse engineer or copy the Software
- Resell or sublicense access
- Use the Software to develop competing products
6. Compliance Disclaimer
Customer acknowledges that TradeSeal does not determine wage classifications, union requirements, fringe calculations, apprenticeship ratios, or other labor law obligations.
All outputs must be independently verified by Customer.
TradeSeal shall not be liable for audit findings, regulatory penalties, back wages, liquidated damages, or similar compliance-related liabilities.
7. Limitation of Liability
To the maximum extent permitted by law, TradeSeal’s total liability arising from the Software or Services will not exceed the amount paid by Customer during the six (6) months preceding the claim.
TradeSeal will not be liable for indirect, incidental, consequential, or punitive damages.
8. Termination
After the initial subscription term, either party may terminate the subscription with ninety (90) days written notice.
TradeSeal may suspend or terminate access for non-payment or breach of these Terms.
9. Dispute Resolution
The parties agree to attempt informal resolution of disputes before initiating arbitration.
Any unresolved dispute will be resolved by binding arbitration under the rules of the American Arbitration Association.
These Terms are governed by the laws of the State of Delaware.
10. Electronic Acceptance
By completing an online purchase, Customer agrees that electronic acceptance of these Terms constitutes a legally binding agreement.
No physical signature is required.
